Costapp is supplied for business and professional use. These terms form a contract between Costapp Ltd and the organisation taking a trial, buying a subscription or otherwise using the service.

1. About these terms

Costapp Ltd, registered in England and Wales under company number 15112418, operates the Costapp website and application. Its registered office is 9 Regent Street, Runcorn, England, WA7 1LJ. Contact us at kevin.morley@costapp.co.uk.

These terms incorporate our Subscription, Cancellation and Refund Policy, Privacy Notice, Cookie Policy and, where we process project data for a customer, our Data Processing Agreement. A signed order, proposal or invoice may add customer-specific commercial terms. If there is a direct conflict, the signed customer-specific term takes priority.

2. Business status and acceptance

By creating an account, starting a trial or using Costapp, you agree to these terms and confirm that you are acting mainly for purposes relating to your trade, business, craft or profession. If you act for an organisation, you confirm that you have authority to bind it.

Costapp is not marketed as a consumer service. If mandatory consumer rights nevertheless apply to you, nothing in these terms removes them.

3. Accounts and authorised users

You must provide accurate information and keep account access secure. You are responsible for activity by users you authorise and for promptly removing access that is no longer required. Shared sign-in credentials must not be used. Project invitations and external response links must be sent only to intended recipients.

You must tell us promptly if you suspect unauthorised access or a security incident affecting Costapp.

4. Trials, subscriptions and payment

Trial length, plan price, billing frequency, renewal, cancellation and refund arrangements are set out in our Subscription, Cancellation and Refund Policy and any accepted order. Prices exclude VAT unless stated otherwise.

Access may become read-only or be suspended after a trial ends, following cancellation, or if payment is overdue. Suspension does not remove amounts already due.

5. Licence and Costapp intellectual property

During an active trial or subscription, we grant the customer a limited, non-exclusive, non-transferable and revocable licence for its authorised users to use Costapp for the customer’s internal business activities and projects.

Except for customer content and identified third-party material, all intellectual property rights in Costapp belong to or are licensed to Costapp Ltd. This includes its software, code, data structures, workflows, designs, text, branding, guidance, forms, templates, workbooks and downloadable resources. Project-specific outputs may be adapted and shared with relevant project parties, but ownership of the underlying service and templates does not transfer.

6. Customer content and data protection

The customer retains ownership of project records, documents, correspondence and other content its users enter or upload. The customer gives us the rights needed to host, process, back up, transmit and display that content to provide, secure and support Costapp.

The customer is responsible for the legality, accuracy and quality of its content, for having the right to use and share it, and for deciding who may access it. For customer-controlled personal data in project content, the customer is normally the controller and Costapp is the processor under our Data Processing Agreement. Costapp remains a controller for its own account, service, security and billing records as explained in our Privacy Notice.

7. Confidentiality and project sharing

Each party must protect confidential information received from the other and use it only to perform the agreement, except where disclosure is required by law or to professional advisers under duties of confidence.

Costapp is a collaborative project system. Information issued to team members, subcontractors or recipients selected by a customer will be visible to those recipients. The customer must check recipients and permissions before issuing or sharing information.

8. Acceptable use

You must not:

  • copy, sell, sublicense or commercially exploit Costapp or its protected materials outside the licence above;
  • make the service available to unauthorised people or use its materials to create or support a competing product or template library;
  • reverse engineer, decompile, scrape, systematically extract or attempt to discover source code or underlying structures except where law expressly permits it;
  • upload malware, unlawful content or material that infringes another person’s rights;
  • circumvent security or access controls, interfere with availability, or probe another customer’s data; or
  • use Costapp unlawfully, fraudulently or in a way that could damage the service or another user.

9. Third-party services

Costapp relies on specialist providers, including OpenAI/ChatGPT Sites for sign-in and application services, Cloudflare infrastructure for delivery, database and file storage, Stripe for billing, and Resend for transactional email. Their services may be governed by their own terms and privacy information. We are not responsible for third-party services outside our reasonable control, but we remain responsible for our own obligations when providers process data for us.

10. Professional-use and NEC disclaimer

NEC® is a registered trademark of Thomas Telford Ltd. References to NEC4 are to the NEC4 contract suite published by Thomas Telford Ltd. Costapp is independently developed and is not affiliated with, sponsored by or endorsed by Thomas Telford Ltd. Contract terminology and workflow guidance are provided as practical tools only. Costapp does not replace the signed contract, Subcontract Data, project-specific amendments, legal advice or professional judgement. Users must check contractual deadlines, recipients, notices and calculations before relying on or issuing them. Read our NEC trademark and independence notice.

11. Availability, security and records

We use reasonable care to keep Costapp secure and available, but do not promise uninterrupted or error-free operation. Maintenance, internet failures, provider incidents and events outside reasonable control can affect access. Customers should export or retain appropriate copies of critical contractual records and verify documents before issue.

We may change or improve features provided this does not materially reduce the core service during a paid term without reasonable notice.

12. Warranties and liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded.

Subject to that, to the fullest extent permitted by law, Costapp is not liable for indirect or consequential loss, or for loss of profit, revenue, business, anticipated savings, goodwill or data. Costapp’s total aggregate liability arising from the service in any twelve-month period is limited to the fees paid or payable by the customer for Costapp during the twelve months immediately before the event giving rise to the claim.

The customer remains responsible for project decisions, contractual compliance and the completeness of information entered into the service.

13. Suspension and termination

We may suspend access where reasonably necessary to protect security, investigate misuse, enforce these terms, comply with law or respond to non-payment. Either party may terminate for a material breach that is not remedied within 30 days after written notice, or immediately for an irremediable breach or insolvency, subject to applicable law.

What happens to subscription access, refunds and project data after cancellation is explained in our Subscription Policy, Privacy Notice and Data Processing Agreement. Terms that by their nature should continue, including confidentiality, intellectual property and accrued payment obligations, survive termination.

14. Changes and notices

We may update these terms for legal, security, operational or service changes. The current version and revision date will remain on the page. We will give active customers reasonable notice of a material adverse change where practicable and require renewed acceptance where appropriate. Continued use after the effective date constitutes acceptance only where that approach is legally effective.

15. General and governing law

Neither party may assign the agreement without the other’s consent, except that Costapp may assign it as part of a business sale or reorganisation. A delay in enforcing a right is not a waiver. If a provision is unenforceable, the rest remains effective. These terms, incorporated policies and any customer-specific order are the entire agreement about the service.

The agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to any mandatory rights that apply.
